Arnold Gallagher has an extensive taxation practice encompassing all areas of business. We represent and advise clients on tax issues related to starting a business, such as the formation of partnerships, corporations, and limited liability companies. We then work with our clients on tax issues that arise after the start-up phase, such as those associated with a merger, sale, acquisition, conversion, or other reorganization. We also counsel clients on the tax aspects of real estate transactions, including forward and reverse tax-deferred exchanges.
When clients have tax controversies with the IRS and the Oregon Department of Revenue, we assist them at all levels, from audits to appeal proceedings to litigation. In addition, we negotiate compromises of our clients’ tax liabilities with these agencies.
Our firm also assists our clients with family-owned businesses in structuring their personal and business affairs to maximize tax advantages and provide for changes in ownership and management. We handle matters such as the structuring of buy-sell agreements (including the use of insurance), addressing compensation issues, restructuring business entities when a family’s circumstances change, and evaluating state residency issues.
